BASIC CHARACTERISTICS OF THE EUROPEAN COMPANY (SE)

The characteristics of the European company are as follows:

  • the company name must carry the suffix SE
  • the seat of the European company (SE) must be in EU territory. In principle, it is up to the will of the founders as to the EU members state in which they locate the seat of the founded European company SE (the seat of the founder company does not play any role); however, the registered seat of the European company (SE) must lie in the same state as its actual seat
  • the European company (SE) may have a monistic model where the company is headed by the board of directors with an arbitrary number of members. Alternatively, the European company (SE) may have the, so-called, dualistic model – i.e. board of directors and supervisory board. At the same time, these two organs may have an arbitrary number of members.
  • the registered capital of a European company (SE) just as applies to a joint stock company must be minimum 120 000 EUR or equivalent

INCORPORATION METHODS

A markedly specific characteristic of the European company is the limitation of the modes of establishment. The Council Regulation on European companies (2157/2001) specifies the legal form of subjects, which may establish a European company, includes a requirement for a supranational element in the process of incorporation and taxatively outlines the following five methods for incorporation of the European company SE:

  1. merger of two or more joint stock or European companies
  2. creation of a holding European company by two or more joint stock companies or European companies or limited liability companies
  3. establishment of a subsidiary European company (joint-venture european company)
  4. transformation of a joint stock company established under the laws of any of the member states of the EU
  5. as a subsidiary company of an already existing European company

It is just the last mentioned possibility that made it possible for us to create our offer of the ready-made SE for our clients, which was created as the subsidiary of an already existing in-house European company. The advantage of acquisition of the ready-made European company (SE) from our offer is the fact that the owner of a ready-made SE may also be a subject that cannot establish a European company because of the limitations above, or for which the process would be unbearably expensive and complicated.
